Terms of Service

These are the Terms of Service governing the use of this Service and the agreement that operates between You and Managator. These Terms of Service set out the rights and obligations of all users regarding the use of the Service. These Terms also govern your access to and use of Managator's domains, including managator.com, app.managator.com, and managator.app.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms of Service. These Terms of Service apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms of Service. If You disagree with any part of these Terms of Service then You may not access the Service.

By using our Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If you are using the Service on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms and you agree to be bound by these Terms on behalf of that organization.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

Subject to your compliance with these Terms, Managator grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes related to property management. This license is strictly limited to the functionality provided by the Service and does not convey any rights to the underlying software or intellectual property.

The term of your subscription shall commence on the date you sign up for the Service and continue for the specific subscription period chosen (e.g., monthly or annually). Subscriptions automatically renew for successive periods of the same duration unless either party gives notice of non-renewal or cancels the subscription prior to the end of the current term.

You agree not to do any of the following:

• Post, upload, publish, submit or transmit any Content that: (i) infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances.
• Use, display, mirror or frame the Service or any individual element within the Service, Managator's name, any Managator trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Managator's express written consent.
• Access, tamper with, or use non-public areas of the Service, Managator's computer systems, or the technical delivery systems of Managator's providers.
• Attempt to probe, scan or test the vulnerability of any Managator system or network or breach any security or authentication measures.

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of Managator and its licensors. The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Managator.

You agree to pay all fees associated with your subscription level. Fees are billed in advance on a recurring basis (monthly or annually) depending on your subscription plan. All payment obligations are non-cancelable and fees paid are non-refundable, except as expressly provided in these Terms.

We accept various payment methods, including credit cards and debit cards, through our third-party payment processors. By providing a payment method, you expressly authorize us to charge the applicable fees to such payment method, as well as taxes and other charges incurred. You represent and warrant that you have the legal right to use the payment method provided.

Managator, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Managator will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

If any fee is not paid in a timely manner, or your payment transaction is rejected or denied, we reserve the right to suspend or terminate your access to the Service immediately. You will remain responsible for all accrued and unpaid fees.

You agree to defend, indemnify and hold harmless Managator and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms of Service. Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service or cancel your subscription through your account settings.

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

PLEASE READ CAREFULLY

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Managator shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Managator's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference).

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. These Terms and any policies or operating rules posted by us on this site or in respect to The Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us.

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Managator is established, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
